SWRL Marketplace Terms and Conditions
1. Introduction to SWRL
1.1 Company Information: SWRL is a private limited company (“SWRL,” “we,” “us,” or “our”) registered under the Companies Act, 2013. Our registered office is located at FBD One Corporate Park, 10th Floor, Faridabad, Haryana, 121003.
1.2 Nature of Services: SWRL operates a peer-to-peer marketplace (the “Marketplace”) that allows third-party lenders (“Lenders”) to list and rent (or, in some cases, sell) their items to third-party renters (“Renters”) via our website [Insert Website] (the “Website”). 1.3 Terms of Use: These Terms and Conditions (“Terms”) govern your use of our Website and Services, whether as a Lender or a Renter, and apply to both registered users and guests.

1.7 Role of SWRL: SWRL facilitates rentals between users but does not set prices or act as a party to rental agreements between Lenders and Renters. Lenders determine rental terms independently, and SWRL serves only as a platform.
1.8 Independent Transactions: The agreement between Lenders and Renters is independent of SWRL. However, in cases where SWRL acts as a payment collection agent on behalf of Lenders, it does not act as an agent in any other capacity.
2. Creating and Managing Your Account
2.1 Account Registration: Users must create an account to rent or lend items on the SWRL Marketplace. This includes providing accurate details such as your full name, contact information, and billing details. Additional verification may be required.
2.2 Account Security: You must create a strong password and keep your account details confidential. You are responsible for any activities conducted under your account. If you suspect unauthorized access, notify us immediately at [Insert Contact Email].

3. User Rights and Content Guidelines
3.1 Ownership of Content: All materials and content on our Website, except for third-party content and user-generated content, belong to SWRL.

- Sell, sublicense, or transfer access to the Website.

4. Termination of Services

5. Lender-Specific Terms
5.1 Listing Items: Lenders may list only items that fit within SWRL’s approved categories. Any damage to the item must be clearly mentioned in the listing.
5.2 Images & Proof of Condition: Lenders must upload clear images and take photos of the item within 24 hours of shipping to document its condition.
5.3 Cancellations: If a Lender cancels a rental within 72 hours of the start date, SWRL may mark their profile accordingly and temporarily suspend their listings.
6. Renter-Specific Terms
6.1 Responsibilities: Renters must :-
- Use the rented item as per the Lender’s instructions.
- Return the item in the same condition and on time.
6.2 Late Returns & Penalties:
- Delays beyond the agreed return date may incur late fees of 125% of the daily rental price.
- If an item is not returned within 21 days post end of rental period, SWRL may charge the Renter up to the full replacement value of the item.
6.3 Damage & Theft
- Renters must report damage within 24 hours of receiving the item.
- Theft will result in legal action.
6.4 Verified Lender Program Lenders with 3+ 5 star reviews & 5, 5 star reviews may qualify as Verified renters, allowing them to rent items between INR 1,00,000 – INR 5,00,000 and above inr 5,00,000 respectively
7. Fees and Payments
7.1 Rental Fees & Commission: SWRL charges a 15% commission plus GST on all rentals.
7.2 Security Deposits: Renters may be required to pay a security deposit, which will be refunded within 5 business days after returning the item.
7.3 GST & Taxes: Lenders are responsible for complying with tax regulations, including GST and income tax.
8. Dispute Resolution
8.1 Disputes with Users: Users should attempt to resolve disputes independently. If unresolved, email our Disputes Team at [Insert Contact Email] within 7 days of the rental end date.
8.2 Disputes with SWRL: Contact us at [Insert Contact Email], and we will attempt to resolve the issue informally.
9. Legal and General Provisions
9.1 Liability Limitations: SWRL is not responsible for lost, stolen, or damaged items unless caused by our direct negligence.
9.2 Prohibited Activities: You must not misuse our Website, including hacking, spamming, or transmitting malicious software.
9.3 Governing Law & Jurisdiction: These Terms are governed by Indian law, and any disputes shall be resolved in the courts of Faridabad, Haryana.
